1. General Disclaimer

Deal Exchange is a technology platform operated by Mitton Ridge Partners Ltd, a company registered in England and Wales (Company No. 16690549).

The Platform is NOT any of the following:

  • A broker or business transfer agent
  • A financial advisor or investment advisor
  • An intermediary, agent, or fiduciary
  • A legal, tax, or accounting advisor
  • A regulated firm under the Financial Conduct Authority (FCA)

The Platform is a technology marketplace that allows business sellers to create listings and prospective buyers to browse those listings. No information presented on or through the Platform constitutes investment advice, financial advice, legal advice, tax advice, or any other form of professional advice.

2. No Verification of Listings

The Platform does NOT verify, validate, audit, or endorse any information provided in business listings. This includes but is not limited to:

  • Financial data such as revenue, EBITDA, profit figures, asset values, and debt levels — all provided by sellers and not independently verified
  • Business descriptions, narratives, and claims made by sellers
  • Documents uploaded to the data room — provided by sellers, not reviewed or certified by the Platform
  • Seller identity or authority to sell — while sellers provide a Companies House registration number, this is a public registry lookup, not a verification by the Platform
  • The legality, viability, or ongoing status of any listed business

The Companies House lookup feature retrieves publicly available data from the UK public registry as a convenience feature. It does not constitute verification, endorsement, or due diligence by the Platform.

Anonymised listing descriptions are automatically generated from seller-provided data and may not accurately reflect the underlying business.

3. Self-Declaration Disclaimer

The investor self-declaration process on the Platform (where buyers declare their status as a High Net Worth Individual, Sophisticated Investor, or Professional Investor) is the user's own declaration. The Platform:

  • Does not verify, assess, or endorse any user's declared investor status
  • Does not conduct any suitability assessment for any investment or acquisition
  • Does not confirm that any user genuinely meets the criteria they have declared
  • Accepts no liability for inaccurate self-declarations made by users

The self-declaration is not an assessment of your financial sophistication or your ability to bear the risks of acquiring a business. You are solely responsible for ensuring that you genuinely meet the criteria you declare.

4. Investment Risk Warning

Risk Warning

  • Acquiring a business involves substantial financial risk. You may lose some or all of your investment.
  • Past performance of any business is not indicative of future results.
  • The value of any business and its income can go down as well as up.

  • Any buyer will meet their financial commitments or obligations
  • Any seller has provided accurate, complete, or truthful information
  • The Platform will be available at all times or free from errors
  • Information on the Platform is accurate, complete, or current

6. Third-Party Content and Links

The Platform may contain links to third-party websites or services. The Platform is not responsible for the content, accuracy, or practices of third-party sites. Inclusion of links does not imply endorsement.

7. Professional Advice

You are strongly advised to obtain independent professional advice before entering into any transaction or making any investment decision. This should include, at minimum:

  • A qualified solicitor for legal advice on the transaction
  • A qualified accountant for review of financial information and due diligence
  • A qualified tax advisor for tax implications of the transaction
